Terms of Use
1.0 Terms of Use
The following contains the Terms of Use (or “User Agreement” or "Terms" or “Terms of Use”) that govern your use of the One Place sites and applications where this appears (collectively, the "Site"). Our Privacy Policy, Purchase Policy, Seller Policy, and any other policies, rules or guidelines that may be applicable to particular offers or features on the Site are also incorporated into these Terms. By visiting or using the Site, you expressly agree to these Terms, as updated from time to time.
We may make changes to these Terms at any time. Any changes we make will be effective immediately when we post a revised version of these Terms on the Site. The "Last Updated" date above will tell you when these Terms were last revised. By continuing to use this Site after that date, you agree to the changes.
The Site is not intended for children under the age of 15 and no person under the age of 15 may use the Site. We strongly encourage all parents and guardians to monitor the Internet use by their children. If you use the Site, you affirm you are at least 15 years old.
1.1 Account Registration
You may browse the Site without registering for an account. You may be required to register for an account to use certain features on the Site, such as purchasing tickets, selling tickets, verifying your identity, receiving payment settlement, or other reason. If you create an account, your account username may not include the name of another person with the intent to impersonate that person, or be offensive, vulgar or obscene. Your account username and password are personal to you. You will be responsible for the confidentiality and use of your username and password, and for all activities (including purchases or sales) that are conducted through your account. You may not transfer or sell access to your account. We will not be liable for any harm related to disclosure of your username or password or the use by anyone else of your username or password. You may not use another user's account without that user's permission. You will immediately notify us in writing if you discover any unauthorized use of your account or other account-related security breach. We may require you to change your username and/or password if we believe your account is no longer secure or if we receive a complaint that your username violates someone else's rights. You will have no ownership in your account or your username. We may refuse registration, cancel an account or deny access to the Site for any reason.
1.2 Code of Conduct
You agree that you will comply with all applicable laws, rules and regulations, and that you will not:
- Restrict or inhibit any other person from using the Site;
- Use the Site for any unlawful purpose;
- Express or imply that any statements you make are endorsed by us, without our prior written consent;
- Impersonate any person or entity, whether actual or fictitious, including any employee or representative of our company;
- Submit (a) any content or information that is unlawful, fraudulent, libelous, defamatory, or otherwise objectionable, or infringes our or any third party's intellectual property or other rights; (b) any non-public information about companies without authorization; or (c) any advertisements, solicitations, chain letters, pyramid schemes, surveys, contests, investment opportunities or other unsolicited commercial communication;
- Submit, or provide links to, any postings containing material that could be considered harmful, obscene, pornographic, sexually explicit, indecent, lewd, violent, abusive, profane, insulting, threatening, harassing, hateful or otherwise objectionable, includes the image or likeness of individuals under 18 years of age, encourages or otherwise depicts or glamorizes drug use (including alcohol and cigarettes), characterizes violence as acceptable, glamorous or desirable, or contains any personal contact information or other personal information identifying any third party;
- Submit, or provide links to, any postings containing material that harasses, victimizes, degrades, or intimidates an individual or group of individuals on the basis of religion, race, ethnicity, sexual orientation, gender, age, or disability;
- Engage in spamming or flooding;
- Harvest or collect information about Site users;
- Order a number of tickets for an event that exceeds the stated limit for that event;
- Use any password or code to participate in a presale or other offer on the Site if you did not receive the password or code from us or if you violate the terms of the presale or offer; or
- Use any area of the Site for commercial purposes, such as to conduct sales of tickets, products or services without our expressed or written consent.
1.3 Ownership of Content and Grant of Conditional License
The Site and all data, text, designs, pages, print screens, images, artwork, photographs, audio and video clips, and HTML code, source code, or software that resides or is viewable or otherwise discoverable on the Site, including apps associated with our business and all tickets obtained from the Site or through our network, (collectively, the "Content") are owned by us or our licensors. We own a copyright and, in other instances, we may hold patents and other intellectual property rights relating to the Site and it’s Content. We may change the Content and features of the Site at any time.
We grant you a limited, conditional, no-cost, non-exclusive, non-transferable, non-sub-licensable license to view this Site and its Content and to sell or purchase tickets as permitted by these Terms only if, as a condition precedent, you agree that you will not:
- Submit any software or other materials that contain any viruses, worms, Trojan horses, defects, date bombs, time bombs or other items of a destructive nature;
- Manipulate identifiers, including by forging headers, in order to disguise the origin of any posting that you submit;
- "Frame" or "mirror" any part of the Site;
- Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Site or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Content;
- Remove any copyright, trademark or other proprietary rights notices contained on the Site;
- Use any robot, spider, offline reader, site search/retrieval application or other manual or automatic device, tool, or process to retrieve, index, data mine or in any way reproduce or circumvent the navigational structure or presentation of the Content or the Site, including with respect to any CAPTCHA displayed on the Site. Operators of public search engines may use spiders to copy materials from the Site for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials. We may revoke this exception at any time and require removal of archived materials gathered in the past;
- Use any automated software or computer system to search for, reserve, buy or otherwise obtain tickets, discount codes, promotional codes, vouchers, gift cards or any other items available on the Site, including sending information from your computer to another computer where such software or system is active;
- Take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;
- Access, reload or refresh transactional event or ticketing pages, or make any other request to transactional servers, more than once during any three-second interval;
- Request more than 500 pages of the Site in any 24-hour period, whether alone or with a group of individuals;
- Make more than 200 reserve requests on the Site in any 24-hour period, whether alone or with a group of individuals;
- Reproduce, modify, display, publicly perform, distribute or create derivative works of the Site or the Content;
- Reproduce or scan tickets in a format or medium different from that provided by the Site;
- Decode, decrypt, modify, or reverse engineer any tickets or underlying algorithms or barcodes used on or in production of tickets or the Site;
- Use the Site or the Content in an attempt to, or in conjunction with, any device, program or service designed to circumvent any technological measure that effectively controls access to, or the rights in, the Site and/or Content in any way including, without limitation, by manual or automatic device or process, for any purpose.
This license is expressly conditioned on your preexisting agreement to comply with, and your actual compliance with, each of the provisions described in this Ownership of Content and Grant of Conditional License section. This license exists only so long as you strictly comply with each of the provisions described in this section. Any use of the Site or Content by you or anyone acting on your behalf that does not strictly comply with each and every provision in this section exceeds the scope of the license granted to you herein, constitutes unauthorized reproduction, display, or creation of unauthorized derivative versions of the Site and Content, and infringes our copyrights, trademarks, patents and other rights in the Site and Content. You will not acquire any ownership rights by using the Site or the Content.
The registered and unregistered trademarks, logos and service marks displayed on the Site are owned by us or our licensors. You may not use our trademarks, logos and service marks in any way without our prior written permission.You may inquire about obtaining permission by writing to the address at the end of these Terms
1.4 Making Purchases or Sales
Please review our Purchase Policy and Seller Policy, which will govern your purchase or sale of any tickets or other products through the Site, including delivery, and any refunds or exchanges. We may impose conditions on your use of any coupon, promotional code or gift card. You will pay all charges incurred by you or any users of your account and credit card (or other applicable payment mechanism) at the price(s) in effect when such charges are incurred, including any applicable taxes. You may only use credit or debit cards, gift cards or vouchers, or other financial instruments that belong to you or to people who expressly authorize you to use such payment methods. You may not attempt to conceal your identity by using multiple Internet Protocol addresses or email addresses to conduct transactions on the Site. You will not hold us liable if you do not comply with laws related to your transactions. We may provide law enforcement with information you provide to us related to your transactions to assist in any investigation or prosecution of you. If we are unable to verify or authenticate any information or tickets you provide during any registration, ordering, purchase, ticket posting, sale, authentication, delivery, payment or remittance process, or any other process, or if we are no longer able to verify or authorize your credit card or bank account information, your tickets may be cancelled, we may refuse to honor all pending and future ticket purchases made with those credit card or bank accounts and/or via any online accounts associated with those credit card or bank accounts. We may also prohibit you from using the Site.
1.5 Forums and User Content
We may host fan reviews, message boards, blog feeds, social media feeds and other forums found on the Site (collectively, "Forums"), and you may be able to submit suggestions, reviews, concepts, audio and video recordings, photographs, artwork or other content to the Forums or other areas of the Site ("User Content").
By submitting User Content, you certify that you are at least 18 years old, or you have met legal requirements to obtain express consent from parental or legal guardian to submit User Content.
You own all rights to your User Content. If you submit User Content to the Site, you grant us a worldwide, non-exclusive, transferable, sublicenseable, royalty-free right and license to use, reproduce, modify, create derivative works of, distribute, publicly perform, display, archive and commercialize your User Content, in our sole discretion, in all formats and in all media channels now known or hereinafter discovered, without any compensation or acknowledgment to you or anyone else. This license will not affect your ownership in your User Content, including the right to grant additional licenses to your User Content, except if it conflicts with these Terms. We are not obligated to post, display or otherwise use any User Content, or to attribute your User Content to you. You will not make or authorize any claim against us that our use of your User Content infringes any of your rights.
Statements, opinions and reviews posted by participants in a Forum may be inaccurate, offensive, obscene, threatening or harassing. We do not endorse and are not responsible for these postings. We will not be liable for any loss or harm caused by the posting or your reliance on information obtained through the postings.
You will be responsible for your User Content and the consequences of posting it. By submitting User Content, you represent to us that (i) you own, or have the necessary permission to submit the User Content and to grant the licenses to us under this section, and (ii) you have the written permission of every identifiable person in the User Content to use that person's name and likeness in the manner contemplated by the Site and these Terms or, if the person is a minor, the written permission of the minor's parent or legal guardian.
We will have the right (but not the obligation) to monitor and administrate the Site, the Forums and the User Content, and to disclose any User Content and the circumstances surrounding its submission in order to operate the Site properly, or to protect ourselves, our sponsors and our users, or to comply with legal obligations or governmental requests.
If we are notified that your User Content does not comply with these Terms, we may investigate the allegation and may decide to remove your User Content, cancel your account, or restrict your access to the Site.
1.6 Claims of Copyright Infringement On The Site
If you believe in good faith that any content on the Site infringes your copyright, you may send us a notice requesting that the content be removed. The notice must include: (a) your (or your agent's) physical or electronic signature; (b) identification of the copyrighted work on our Site that is claimed to have been infringed (or a representative list if multiple copyrighted works are included in one notification); (c) identification of the content that is claimed to be infringing or the subject of infringing activity, including information reasonably sufficient to allow us to locate the content on the Site; (d) your name, address, telephone number and email address (if available); (e) a statement that you have a good faith belief that use of the content in the manner complained of is not authorized by you or your agent or the law; and (f) a statement that the information in the notification is accurate and, under penalty of perjury, that you or your agent is authorized to act on behalf of the copyright owner. If you believe in good faith that a notice of copyright infringement has been wrongly filed against you, you may send us a counter-notice.
Notices and counter-notices should be sent to the address at the end of these Terms.
We suggest that you consult your legal advisor before filing a notice or counter-notice.
1.7 Links
The Site contains links to other websites that may not be owned or operated by us. The fact that we may link to those websites does not indicate any approval or endorsement of those websites. We have no control over those websites. We are not responsible for the content of those websites, or the privacy practices of those websites. We strongly encourage you to become familiar with the terms of use and practices of any linked website. Your use of other websites is at your own risk and is subject to the terms of those websites. It is up to you to take precautions to ensure that whatever links you select or software you download (whether from the Site or other sites) is free of viruses, worms, Trojan horses, defects, date bombs, time bombs and other items of a destructive nature. We take no responsibility for any harm or damages that you incur as a result of our links to third-party sites.
1.8 Parental Controls
We cannot prohibit minors from visiting our Site, and must rely on parents and guardians to decide what materials are appropriate for children to view and purchase. There are parental control protections (such as computer hardware, software or filtering services) available that may assist you in limiting access to material that is harmful to minors. Although we do not endorse the products or services listed on any third-party sites, we do encourage research to identify which controls may best suit your needs.
1.9 Access from Outside the Thailand
The Site is directed to people residing in the Kingdom of Thailand. We do not represent that Content available on or through the Site is appropriate or available in other locations. We may limit the availability of the Site or any service or product described on the Site to any person or geographic area at any time. If you choose to access the Site from outside the Kingdom of Thailand, you do so at your own risk.
1.10 Rules for Sweepstakes, Contests and Games
In addition to these Terms, sweepstakes, contests, games or other promotions (collectively, "Promotions") made available through the Site may have specific rules that are different from these Terms. By participating in a Promotion, you will become subject to those rules. We urge you to review the rules before you participate in a Promotion. Promotion rules will control over any conflict with these Terms.
1.11 Mobile Device Application
If you install or use our mobile application, software and services, including any accompanying documentation (collectively, "App"), we grant you a limited right to install and use the App on a single authorized device located in the Kingdom of Thailand and its territories or in another country where we may offer the App. You may use the App for your personal, non-commercial (unless relating to our services or offers) and entertainment purposes only. You agree to also comply with Google Play’s Terms of Use, which you can find at https://play.google.com/about/play-terms.html. We do not grant you any rights to any related documentation, support, upgrades, maintenance or other enhancements to the App. We will not provide you with any device, internet access or wireless connection to use the App. We are not responsible for any interaction between you and another App user, or information you transmit through the App (including your location and personal information).
1.12 Violation of these Terms
We may investigate any violation of these Terms, including unauthorized use of the Site. We may take legal action that we feel is appropriate. You agree that monetary damages may not provide us a sufficient remedy and that we may pursue injunctive or other relief for your violation of these Terms. If we determine that you have violated these Terms or the law, or for any other reason or for no reason, we may cancel your account, delete all your User Content and prevent you from accessing the Site at any time without notice to you. If that happens, you may no longer use the Site or any Content. You will still be bound by your obligations under these Terms. You agree that we will not be liable to you or any third party for termination of your access to the Site or to your account or any related information, and we will not be required to make the Site or your account or any related information available to you. We may also cancel any ticket or merchandise order, and tickets or merchandise acquired through your order. We may refuse to honor pending and future purchases made from all accounts we believe may be associated with you, or cancel a ticket or ticket order associated with any person we believe to be acting with you, or cancel your ticket postings, or exercise any other remedy available to us.
You agree that your abusive use of the Site may cause damage and harm to us, including impaired goodwill, lost sales and increased expenses. You also agree that monetary damages for your abusive use of the Site are difficult to determine and that if you, or others acting with you, request more than 500 pages of the Site or make more than 200 reserve requests on the Site in any 24-hour period, you, and those acting with you, will be jointly and severally liable for liquidated damages in the amount of 10 Thai baht (THB) for each page request or reserve request made during that 24-hour period which exceeds those limits.
1.13 Disclaimer of Warranties
WE PROVIDE THE SITE AND THE CONTENT TO YOU "AS IS" AND "AS AVAILABLE". WE TRY TO KEEP THE SITE UP, BUG-FREE AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING OR COURSE OF PERFORMANCE OR USAGE OF TRADE. WE DO NOT GUARANTEE THAT THE SITE WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE OR THAT THE SITE WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS. WE ARE NOT RESPONSIBLE FOR THE ACTIONS OR INFORMATION OF THIRD PARTIES, AND YOU RELEASE US FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES.
1.14 Limitation of Liability
IN NO EVENT WILL WE OR OUR EVENT ORGANIZERS, SUPPLIERS, ADVERTISERS AND SPONSORS, BE RESPONSIBLE OR LIABLE TO YOU OR ANYONE ELSE FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY TYPE OTHER THAN OUT OF POCKET EXPENSES, AND ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED, ARISING OUT OF OR IN CONNECTION WITH THE SITE, THE CONTENT, OR ANY PRODUCT OR SERVICE PURCHASED THROUGH THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF WHETHER THE CLAIM IS BASED UPON ANY CONTRACT, TORT, OR OTHER LEGAL OR EQUITABLE THEORY. WITHOUT LIMITING THE FOREGOING, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT WE WILL HAVE NO LIABILITY OR RESPONSIBILITY WHATSOEVER FOR (a) ANY FAILURE OF ANOTHER USER OF THE SITE TO CONFORM TO THE CODES OF CONDUCT, (b) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, WHETHER ARISING IN CONTRACT OR IN TORT, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SITE, (c) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (d) ANY BUGS, VIRUSES, WORMS, TROJAN HORSES, DEFECTS, DATE BOMBS, TIME BOMBS OR OTHER ITEMS OF A DESTRUCTIVE NATURE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SITE, (e) ANY ERRORS, MISTAKES, INACCURACIES OR OMISSIONS IN ANY CONTENT, OR (f) ANY LOST, STOLEN OR DAMAGED TICKETS, OR THE FAILURE OF A VENUE TO HONOR A TICKET. YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO STOP USING THE SITE. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THE ALLOCATION OF RISK BETWEEN US IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN US. OUR AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE USE OF THE SITE WILL NOT EXCEED THE GREATER OF TWO THOUSAND BAHT (2000 THB) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF DAMAGES, SO THESE MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE.
1.15 Indemnification
If anyone brings a claim against us related to your use of the Site, your User Content or your violation of these Terms, you agree to indemnify, defend and hold us and our affiliated companies, event providers, suppliers, advertisers and sponsors, and each of our officers, directors, employees, and agents, harmless from and against any and all claims, damages, losses and expenses of any kind (including reasonable legal fees and costs). We reserve the right to take exclusive control and defense of any claim, and you will cooperate fully with us in asserting any available defenses.
1.16 Disputes, Including Mandatory Arbitration and Class Action Waiver
Any dispute or claim relating in any way to your use of the Site, or to products or services sold or distributed by us or through us, will be resolved by binding arbitration rather than in court, with the following exceptions:
- You may assert claims in small claims court if your claims apply;
- If a claim involves the conditional license granted to you as described in the Ownership of Content and Grant of Conditional License section above, either of us may file a lawsuit in a federal court of the United States of America, and we both consent to the jurisdiction of those courts for such purposes; and
- In the event that the arbitration agreement in these Terms is for any reason held to be unenforceable, any litigation against us (except for small-claims court actions) may be commenced only in federal courts of the United States of America, and we both consent to the jurisdiction of those courts for such purposes.
The arbitration agreement in these Terms is governed by the Federal Arbitration Act (FAA), including its procedural provisions, in all respects. This means that the FAA governs, among other things, the interpretation and enforcement of this arbitration agreement and all of its provisions, including, without limitation, the class action waiver discussed below. State arbitration laws do not govern in any respect.
This arbitration agreement is intended to be broadly interpreted, and will survive termination of these Terms. The arbitrator, and not any federal, state or local court or agency, shall have exclusive authority to the extent permitted by law to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability or formation of this Agreement, including, but not limited to any claim that all or any part of this Agreement is void or voidable. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow these Terms as a court would.
To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to the address at the end of these Terms.The arbitration will be conducted by a mutually agreed administrator. Payment of all filing, administration and arbitrator fees will not exceed market rate for such services. We will reimburse those fees for claims totaling less than $1,000 USD unless the arbitrator determines the claims are frivolous, but in no event will we pay for attorneys' fees. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.
We each agree that the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding, and that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. You agree to waive any right to a jury trial or to participate in a class action. If this specific provision is found to be unenforceable, then the entirety of this arbitration section will be null and void and neither of us will be entitled to arbitrate our dispute.
You agree that these Terms evidence a transaction involving interstate commerce and will be governed by and construed in accordance with federal law to the fullest extent possible. However, if your dispute is regarding the re-sale of a ticket made through our Site by One Place for any event located in the Kingdom of Thailand, then these Terms will be governed and construed in accordance with the laws of the Kingdom of Thailand, without regard to conflict or choice of law rules, and you consent to personal jurisdiction, and agree to bring all actions, exclusively in the Kingdom of Thailand. If you have an inquiry regarding a ticket re-sale transaction made through our Site by One Place for any event located in the Kingdom of Thailand, please contact us at the address at the end of these Terms.
1.17 No Reliance and Forward-Looking Statements
The information contained on the Site may not be current and should not be used or relied on for any investment decision regarding our securities or for any similar purpose. We file monthly, semi-annual and annual reports, and other information with the relevant Ministry in the government of the Kingdom of Thailand.
Statements on the Site regarding our financial condition, results of operations and business and our expectations or beliefs concerning future events that are not historical facts are "Forward-Looking Statements.” . Use of the words "believes," "expects," "anticipates," "plans," "estimates" or words of similar meaning is intended to identify Forward-Looking Statements but is not the exclusive means of identifying such statements. We caution you that there are some known and unknown factors that could cause actual results to differ materially from any future results, performance or achievements expressed or implied by such Forward-Looking Statements, including but not limited to economic, competitive, governmental and technological factors affecting our operations, markets, products, services and prices, as well as the risks and uncertainties set forth in the documents we file with the government as required by law.
1.18 Entire Agreement
The User Agreement contains the entire agreement related to our site. You agree that any previous understandings, verbal statements and/or statements in any form of advertisement regarding our site are superseded and shall not be deemed to be a part of this Agreement.
1.19 Interpretation
This agreement exists in the English language only. Wherever possible, each provision of this Agreement shall be interpreted in such a manner as to be valid under applicable law. If any provision shall be invalid or prohibited there under, such provision shall be ineffective only to the extent of such prohibition, without invalidating the remainder of such provision or the remaining provisions of this Agreement which shall remain in full force and effect.

We will share information with third parties who perform services on our behalf. For example, we share information with vendors who help us manage our online registration process or who fulfill your purchases. Some vendors may be located outside of the Kingdom of Thailand.
We will share information with our business partners. This includes a third party who provides or sponsors an event, or who operates a venue where we hold events. We may share information if we think we have to in order to comply with the law or to protect ourselves. For example, we will share information to respond to a court order or subpoena. We may also share it if a government agency or investigatory body requests. Or, we might also share information when we are investigating potential fraud. This might include fraud we think has happened during a sweepstakes or promotion.
We may share information with any successor to all or part of our business. For example, if part of our business is sold we may give our customer list as part of that transaction.

2.5 You have certain choices about how we use your information.
You can opt out of receiving our marketing emails. To stop receiving our promotional emails, we will clearly offer unsubscribe instructions in any promotional message you get from us. Your device settings should provide you with instructions on how to turn off push notifications. It may take about ten days to process your request. Don't worry! Even if you opt out of getting marketing messages, we will still be sure to send you transactional messages. For example, we may still contact you about your orders.

We make changes as soon as we can. This information may stay in our backup files. If we cannot make the changes you want, we will let you know and explain why. 2.6 These sites and apps are not intended for children.
Our sites and apps are meant for adults. We do not knowingly collect personally identifiable information from children under 15. We have security measures in place to protect your information. The standard security measures we use will depend on the type of information collected. However, the Internet is not 100% secure. 2.8 We are MoC DBD registered.
Our local Department of Business Development office has issued us a certificate for registration of our website to perform e-commerce functions. This means we meet all of the requirements to act as an e-commerce provider.
We keep personal information as long as it is necessary or relevant for our business. We also keep information to resolve disputes, enforce our agreements and as otherwise required by law.
2.9 We store information both inside and outside of the Kingdom of Thailand.
If you live outside of the Kingdom of Thailand, you understand and agree that we may transfer your information to the Kingdom of Thailand. Which may not afford the same level of protection of those in your country. We also maintain information and databases on servers located in other countries.
2.10 We may link to third party sites or services we don't control.
If you click on one of those links, you will be taken to websites we do not control. This policy does not apply to the privacy practices of those websites. Read the privacy policy of other websites carefully. We are not responsible for these third party sites.

Purchase Policy
3.0 Purchase Policy
This policy includes details about purchasing tickets, refunds, delivery, exchanges, and other terms associated with events posted on our site. This policy is in addition to our Terms of Use and Privacy Policy, which are also valid and applicable in relation to using our site for the functions mentioned previously. Sellers on our site may also have policies regarding events and purchases that are secondary to One Place Events policies.
3.1 Currency
All ticket prices for events that occur in the Kingdom of Thailand are stated in Thai Baht (THB).
3.2 Payment Methods
We accept several methods of payment to accommodate your needs. If you are buying tickets for an event in the Kingdom of Thailand, One Place Events will offers at least Visa and MasterCard, and we may offer additional methods that will be visible during the checkout process.
3.3 Who You Are Buying From
One Place Events acts as the agent to those who organize events, such as promoters, venues, teams, artist representatives fan clubs, and leagues (collectively referred to as "Event Organizers"). When a ticket is purchased for an event that is located in the Kingdom of Thailand, then Soko Enterprise Ltd. will be handling the transaction and collecting payment for the Event Organizers. All of our payments in Thailand are processed through an payment gateway operated by Expay Group Co., Ltd.
Tickets obtained from unauthorized sources may be lost, stolen or counterfeit, and if so are void.
3.4 Pricing and Availability
One Place Events acts as an agent on behalf of Event Organizers, therefore we do not set the ticket prices, determine ticket types, organize seating locations, or control ticket inventory. If tickets are sold through multiple distribution points, it is the Event OrganizerÂ’s responsibility to not oversell tickets. If multiple distribution points have access to the same ticketing system and inventory, then tickets for popular events may sell out quickly. If additional tickets are available prior to the event that are either not listed on the site or become available after the first lot of tickets has sold out, One Place Events accepts no responsibility for events that surpass capacity or sell more tickets than they can accommodate.
3.5 Order Confirmation
Certain payment methods may require a time sensitive payment. If payment is not confirmed within that time limit (normally 3 hours) then reservations or purchases will not be confirmed. If delayed payment methods are selected during checkout process (such as ATM, counter service, mobile banking, or online banking) and payment is made late, your tickets may not be confirmed even though your payment was completed. The payment window is clearly communicated on screen and via email for payments allowing delayed confirmation. One Place Events is not liable for losses incurred as a result of late payment.
If you do not receive a confirmation number (in the form of a confirmation page or email) after submitting payment information, or if you experience an error message or service interruption after submitting payment information, it is your responsibility to contact the Event Organizer to confirm whether or not your order has been placed. Only you may be aware of any problems that may occur during the purchase process. One Place Events is not responsible for losses (monetary or otherwise) if you assume that an order was placed but did not receive confirmation.
3.6 Fees, Other Charges, and Receipts
Tickets purchased on our Site are typically subject to a per ticket Service Fee and a per order Processing Fee (collectively called “Fees”). In some cases, Delivery Fees may also be owed. You may be able to elect to receive e-tickets without paying a Delivery Fee or purchase tickets directly from a venue box office without paying our Service Fee. Depending on how a seller elects to structure pricing for their events tickets, the seller may choose to pay these fees, or they may be charged to you directly. In any case, sales (and fees) through our site are subject to government VAT tax which is calculated depending on how the seller chooses to structure their ticket pricing. If you need more explanation on how those fees are calculated or you need another copy of your invoice/receipt, please contact the Event Organizer directly.
3.7 Number of Tickets or "Ticket Limits"
When purchasing tickets on our Site, you are limited to a specified number of tickets for each event (also known as a "Ticket Limit"). This Ticket Limit is set during the purchase process and is verified with each transaction. This policy is in effect to discourage unfair ticket buying practices. We reserve the right to cancel any or all orders and tickets without notice to you if you exceed the posted limits. This includes orders associated with the same name, e-mail address, billing address, credit card number or other information.
3.8 Event Descriptions
Event descriptions and other details may be provided by third parties such as Event Organizers, venues, artists, and more. We make our best effort to verify and ensure that those details are accurate, however it is possible that we may fail to notice third-party content that presents inaccurate information or mentions terms different to those stated within our policies regarding ticket delivery, refunds, or other purchase policy matters. If contradictory information exists within third-party content, we reserve the right to enforce our own policies for service regarding transactions that occur through our site. Purchasers must contact Event Organizers directly for any issues relating to third-party terms and conditions.
3.9 Attendee Requirements
Not all events are suitable for all people. Purchasing tickets for any event listed on our site means that you are providing expressed consent that you meet all of the Event OrganizerÂ’s requirements for attendance whether they are clearly displayed on our site or not. This includes, but is not limited to, age, gender, location, membership, or any other requirements that the Event Organizer has set as a prerequisite for event attendance. You may also be required to present identification at the event to verify your identity or other information about yourself (such as age). We do not control those requirements, therefore it is your responsibility to verify if any requirements exist and meet those requirements for attendance before purchasing tickets from our site, or choose to not purchase tickets. In any case, your decision to purchase tickets from an Event Organizer is your choice, and we are not liable for any denials or removals from event attendance that occur as a result of your failure to meet attendance requirements.
3.10 Refunds
Tickets and reservations made through One Place Events are non-refundable. It is the responsibility of the Event Organizer to communicate any third-party refund policy with Purchasers and to issue refunds to those Purchasers independently of One Place Events. If a Purchaser desires to request a refund, that Purchaser must request a refund from the Event Organizer directly. All communications or disputes regarding refunds are between the Event Organizer and Purchaser, and One Place Events accepts no responsibility or liability in any way for refunds, errors in issuing refunds, or lack of refunds in connection with a PurchaserÂ’s use of the services promised by an Event Organizer. All communications and disputes regarding chargebacks and refunds are between the event organizer and Purchaser, and One Place Events accepts no responsibility or liability in any way for chargebacks in connection with a PurchaserÂ’s use of the services promised by an Event Organizer. If you are a Purchaser and you wish to request a refund in connection with an event listed on our Site, you should contact the relevant Event Organizer directly.
3.11 Refunds for Canceled Events
It is our policy that Event Organizers explicitly agree to refund any tickets sold to events that are subsequently cancelled before delivery of services promised by the sale of those tickets. One Place Events may help facilitate refunds for cancelled events for a per-ticket fee, but in most cases we are unable to assist and cannot guarantee payment by the Event Organizer either through our system or independently. All communications and disputes regarding refunds for cancelled events are between the Event Organizer and Purchaser, and One Place Events accepts no responsibility or liability in any way for chargebacks in connection with a PurchaserÂ’s use of the services promised by an event organizer.
3.12 Refunds for Rescheduled Events
If an event is rescheduled, it is the Event Organizers responsibility to contact ticket holders to update them with changes to the schedule. We will make our best effort to keep information on our Site up to date with current information about your events, but we cannot guarantee that Event Organizer have provided the most updated information about their events on our Site, and therefore we accept no responsibility or liability for refunds or chargebacks as a result of rescheduled events.
3.13 Exchanges
If you desire a ticket exchange at the same price or a higher price, we may be able to process an exchange for the tickets you have if you pay the difference, if any, and if you meet other requirements that we require in order to process that exchange such as returning old tickets. We reserve the right to process exchanges as our capability and arrangements with Event Organizers allow. Tickets purchased at a One Place Events affiliate retail locations must be exchanged at the same location. If exchanges are allowed, there will be a maximum of one exchange per person, per event. There may also be a fee associated with exchanges. In any case, the person wishing to exchange the tickets will be required to pay our fee in addition to any difference in ticket value for the new tickets.
Some venues and Event Organizers (and artists, teams, etc.) have a "no refunds or exchanges" policy. But if we are close to the Event Organizer, we'll do everything we can to help. Contact Us!
3.14 Ticket Insurance
We do not currently offer insurance on purchases through One Place Events. If you have purchased any third-party insurance, please contact the insurance provider accordingly for issues relating to their terms.
3.15 Opening Acts / Festival Acts
Opening acts or guests may sometimes tour with headlining performers. We are not always made aware of opening acts or the length of their performances. Opening acts, as well as festival performers, are subject to change or cancellation at any time without notice. No refund will be owed if an opening act or festival performer is changed or canceled.
3.16 Lost or Stolen Tickets
If you lost your e-ticket, wish to print another copy but can't find the original, or you are worried someone might find and try to use your ticket, please follow the link through your email confirmation or contact us to get a replacement ticket with a new barcode so only you can access the event. If the printed ticket you bought is lost, stolen, damaged, or destroyed please contact us. We will need information about your purchase such as Order ID, Payment Reference, and the payment tool used for purchase in order to verify and reissue your ticket.
If you bought your lost, stolen, damaged, or destroyed ticket at a One Place Events affiliate retail location, please return to the same location.
3.17 Delivery
It is our aim to offer modern and environmentally friendly services. Our e-ticket delivery system offers you a paperless opportunity to verify your ticket at the entry control point of the event that you have purchased tickets for. Since we email the tickets to you, you must be careful to note your reservation number at the time of booking and do not lose or share the email or associated ticket attachments that we send as confirmation (reservation number will also be included).
The tickets attached with or provided through a link in the email we send you are designed to validate entry at event location with either a visual verification (allowing the organizer to see your ticket code and name) or by scanning the barcode on your ticket at the entry point. You may also choose to print these tickets at home before arriving to your event if you anticipate that you may not have access to a mobile device or to the internet at the entry control point. We also recommend a screenshot to avoid delays at the event entry points. Event Organizers may further require official identification along with your ticket to verify that you are the authorized ticket holder. Please communicate with the Event Organizer or read terms and conditions associated with your specific event to confirm if additional conditions exist for admission, if any.

One Place Events acts as an agent on behalf of Event Organizers, therefore we do not set the ticket prices, determine ticket types, organize seating locations, or control ticket inventory. If tickets are sold through multiple distribution points, it is the Event Organizer's responsibility to not oversell tickets. If multiple distribution points have access to the same ticketing system and inventory, then tickets for popular events may sell out quickly. If additional tickets are available prior to the event that are either not listed on the site or become available after the first lot of tickets has sold out, One Place Events accepts no responsibility for events that surpass capacity or sell more tickets than they can accommodate. Since we do not control your inventory or its availability, you are responsible for any refunds and fees associated with tickets that are sold in excess (oversales).
4.5 Order Confirmation

Any additional fee that we charge for printing or issuing a physical ticket will be charged at our current rate, which will be available to your customers at the time of purchase.

You may be offered various options, at One Place Events discretion, that determine how the pricing structure of your tickets will appear to your customers. Depending on how you elect to structure VAT and Fees - by absorbing them ("included in price") or charging them to your customers ("excluded" or "additional") - that choice will determine how Fees and VAT are calculated for payment by your customers and how much is owed to you by One Place Events upon payout. The possible options are summarized in the table below:

If you are an Event Organizer that is currently selling tickets to an event, or you are waiting for a payout, you do have the right to the payout that was promised to you at the time when you posted those tickets under the condition that you have confirmed our terms and conditions or other policies that promised you a specific rate at the time when you were creating tickets to sell for your event. Otherwise, One Place Events maintains full authority to change it's pricing structure at any time. This may occur either site-wide, on a specific subdomain, for a specific event, or we may even elect to offer custom pricing structures on a case-by-case basis.
CHARGEBACKS / REFUNDS / OTHER CHARGES
In addition to Fees, you as the event organizer are responsible for all expenses related to the sale of tickets through our site. We cannot anticipate those charges since they may relate to your specific event or customer base, but they may include things like:
- A minimum of 50 baht (+VAT) refund fee may apply, or actual service fees if higher
- Chargebacks - Fees cannot be refunded, additional charges may occur and will be passed to you at actual cost
- VAT - currently 7% for Thailand
- Bank fees or handling charges at actual cost
4.7 Settlement
COMPLETE ACCOUNT SETTLEMENT DETAILS
In order to avoid delays in settlement, please be sure to complete settlement details in your account to let us know how we can send money we have collected from your events. If you don't complete these details, we may experience delays in processing settlements.
TIMELINE
Our settlement timeline depends on payment types by your customers. In most cases, we are able to settle in-full on the 1st or 15th of every month as long as your last customer transaction was more than 7 business days before that date. If you require Advance Payouts, we may be able to help you. Please read below on how to apply.
We are only able to process transfers during normal business hours, Monday through Friday, 9am to 5pm, Bangkok time. There may be a delay between processing and funds being available in your account. This could be due to banking procedures, national holidays, or any other delays that are out of our control. Once we have processed your settlement, you are welcome to follow-up with us if your funds are not available within 3-5 business days, and we will provide as much information as we can about any delays or problems that we've had.
ADVANCE PAYOUTS
If you require advance settlements in order to fund your event, we have a verification process in place that will allow us to settle your payments before your event date. Please Contact Us and we update you with our current policy and process related to advance payouts.
CURRENCY
For events in the Kingdom of Thailand, our primary currency is Thai Baht (THB). If you require settlement in a different currency, we are able to convert currency for settlement, and that we choose to do so to accommodate your request, then you acknowledge that there may be fees associated with that conversion. In the event of any currency conversion, you expressly accept liability for all losses, fees, and adjustments as a result of a currency conversion to accommodate your request.
PAYOUT OPTIONS
One Place Events strives to provide flexible and friendly settlement options for Event Organizers. Our primary settlement option for events and services that occur within the Kingdom of Thailand is local bank account in the Kingdom of Thailand.
We may also offer settlement through PayPal. You understand that this settlement option may cause you to incur additional fees that are not involved with our services. We are not liable for any losses, damages, fees, or other adjustments to your settlement payout if you elect available options alternative to local bank transfer. INTERNATIONAL TRANSFERS
International transfers from the Kingdom of Thailand may be subject to withholding tax, bank fees, or other foreign remittance costs. If One Place Events chooses to accommodate requests to remit settlement payments overseas, you, the Event Organizer, are subject to all costs and fees associated with those transactions. To find out about any costs that may be incurred as a result of these transactions, please contact the Revenue Department directly via their website (http://www.rd.go.th/) or any contact details listed on their site. One Place Events is unable to consult you on costs associated with overseas transactions.
WITHHOLDING TAX
If you as an Event Organizer are licensed and authorized to withhold taxes on Service Fees from One Place Events, you are responsible for contacting us before settlement, and you are also responsible for payment of those withholding taxes and issuance of a proper Withholding Tax Certificate within the monthly reporting period that those withholdings occurred.
INVOICES AND RECEIPTS
One Place Events requires that Event Organizers issue a Receipt for amounts received during the settlement process within three (3) business days of receiving any settlement amounts. Likewise, One Place Events will provide a Tax Invoice / Reciept within three (3) days of any settlements.
4.8 Event Descriptions
It is your responsibility to communicate accurate, current, and complete details about your event to Purchasers on our site. It is also your responsibility to communicate any clarifications or updates to that information directly with your customers. If you have third-party terms and conditions for events or ticket purchases that are not listed on our site, we take no responsibility in communicating those terms or conditions with anyone, and we take no responsibility for any discrepancies that arise as a result. By using our site, you are giving an expressed guarantee that you understand and acknowledge all of our our User Agreements.
4.9 Refunds
Tickets and reservations made through One Place Events are non-refundable. If you, as an Event Organizer, have any third-party refund policy, it is your responsibility to communicate with buyers and to issue refunds independently from the One Place Events site. If a buyer wishes to request a refund, the buyer must request that refund directly from you. All communications or disputes regarding refunds are between the Event Organizer and buyer, and One Place Events accepts no responsibility or liability in any way for refunds, errors in issuing refunds, or lack of refunds in connection with a buyer's use of the services promised by an Event Organizer. All communications and disputes regarding chargebacks and refunds are between the event organizer and buyer, and One Place Events accepts no responsibility or liability in any way for chargebacks in connection with a buyer's use of the services promised by an event organizer. If you are a buyer and you wish to request a refund in connection with an event listed on our Site, you should contact the relevant event organizer directly.
If you wish to process refunds for your customers before settlement has occurred, we may be able to help although there are fees associated with each transaction.
4.10 Refunds for Canceled Events
By using our system, Event Organizers explicitly agree to refund any tickets sold to events that are subsequently cancelled before delivery of services promised by the sale of those tickets. One Place Events may help facilitate refunds for cancelled events based on a per-ticket fee. All communications and disputes regarding refunds for cancelled events are between the event organizer and buyer, and One Place Events accepts no responsibility or liability in any way for chargebacks in connection with a buyer's use of the services promised by an event organizer.
4.11 Refunds for Rescheduled Events
In the case of rescheduled events, it is the Event Organizer's responsibility to contact ticket holders to update them with changes to the schedule. One Place Events may be able to help with event modifications or communications, but it is your responsibility to communicate with your customers and keep event information updated. We accept no responsibility or liability for refunds or chargebacks as a result of rescheduled events.
4.12 Exchanges
If your customers desire a ticket exchange at the same price or a higher price, we may be able to process an exchange if they pay the difference, if any, and if they meet all other requirements in order to process that exchange such as returning old tickets. We reserve the right to process exchanges at our discretion and on a case-by-case basis according to our capability. If exchanges are allowed, there will be a maximum of one exchange per person, per event. There may also be a fee associated with exchanges.
4.13 Ticket Insurance
We do not currently offer insurance on purchases through One Place Events. If you want to offer a third-party insurance option, please Contact Us to discuss possibilities.
4.14 Delivery Options
We aim to provide a full range of delivery options to compliment your event. Currently, we offer e-ticket delivery through our site and via email. We may also be able to offer physical ticketing and post delivery on a case-by-case basis. Please Contact Us to inquire about additional delivery options.
4.15 Entry Control
We aim to offer a range of options to control entry at your events. These are only options, and you are free to use whatever entry control method you prefer. Currently we offer a guest list through our site that you can save or print. We recommend that you plan ahead and arrange your entry control solution before the event date, since it is not guarantee that you will be able to connect to our site on the event date. We may also offer an interactive mobile application to help you manage your guest list. If you choose to use our mobile app, you understand that information used by the app must be communicated with our website through an internet connection. We make efforts to ensure that our entry control systems are full-service and always available. We also put systems in place to allow alternate solutions in the case that you lose internet connection, however we cannot accept responsibility for the failure of any of our entry control systems.
